Our client, a venture capital firm based in San Francisco, is looking to build out their legal team by brining on a Corporate Counsel. The Corporate Counsel will play a crucial role in supporting the firm's legal matters, particularly focusing on corporate governance, regulatory compliance, investment transactions, and general legal advice. This position offers an exciting opportunity to work closely with our investment professionals, portfolio companies, and external legal advisors in a dynamic and fast-paced environment.
Key Responsibilities:
- Provide guidance and support on corporate governance matters, including board of directors' responsibilities, committee charters, and corporate policies.
- Collaborate with investment teams in the review, negotiation, and execution of investment agreements, term sheets, and related transaction documents.
- Conduct legal due diligence on potential investment opportunities, identifying and mitigating legal risks.
- Assist in structuring investment transactions and implementing appropriate legal frameworks.
- Offer legal advice and support to various departments within the firm, including finance, operations, and human resources.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the California State Bar.
- Minimum of 4 years of relevant experience practicing corporate law, preferably with a focus on venture capital, private equity, or securities law.
- Strong understanding of corporate governance principles, investment transactions, and regulatory compliance requirements.
- Excellent drafting, negotiation, and communication skills, with meticulous attention to detail.
- Ability to multitask and prioritize tasks effectively in a fast-paced environment.
- Proven ability to work collaboratively as part of a cross-functional team, while also capable of independently managing complex legal matters.
- Prior experience working with venture capital firms, startups, or technology companies is highly desirable.
